Leadership is everything. What this means is that if you have a bad Director in your Company they have the potential to ruin everything for your Business. Here is how to remove a Bad Director from your Company.
1. Hold a Shareholders meeting and pass an Ordinary Resolution approving the removal of the Director.
2. Send a Special Notice to the Director inviting them for the Shareholders meeting within 21 days and allow him/her the chance to defend themselves of the accusations.
3. The Director may be removed for violating his/her duties as the Director, when the Company is bankrupt or for failing to attend three consecutive meetings of the Board without reasonable cause and the consent of the Board.
4. After passing the Resolution, notify the Registrar of Companies that the Director has ceased to be a Director in the company within 14 days.
